Civil and Commercial Contracts

Objectives

By the end of the course, students are expected to




  • Be familiar with the historical context, legal dimensions, types and main features of the regulation of civil and commercial contracts;

  • Navigate and interpret relevant international, EU, and national legislation;

  • Critically discuss key questions on civil and commercial contracts;

  • Draft simple clauses of civil and commercial contracts.

Prerequisites

Solid background on private law is recommended (in particular, contract law, law of contractual obligations), ideally complemented by prior knowledge on private international law/conflict of law and intellectual property law.

Lectures; in-class exercises of contract drafting; moderated class discussions.


Evaluation method

CONTINUOUS EVALUATION (100%)



Submission of one PDF file on Moodle that includes:




  • Compilation of 10 of the contract clauses drafted during the Thursday class-exercises

  • Selection of only 1 of these clauses and explanation of why we have international, EU, national laws regulating it and why legislative reform is/is not needed (max 2000 words in total)



Submission deadline: Friday 29 November at 19h (Lisbon time)



 



FINAL EXAM (100%)




  • 3 hours

  • open-book (only print-outs, no electronic devices permitted)

  • questions-based exam



All exams will be checked for plagiarism. Where this is detected, a fail grade will be awarded. Students with any special needs (eg medical needs, visual impairments, other disabilities, parental needs) are encouraged to reach out to Prof. Giulia at the beginning of the course.
