Objectives
This course examines the legal, financial, and strategic dimensions of mergers and acquisitions, with a particular focus on the legal and strategic aspects of private M&A transactions in Europe. It covers regulatory frameworks, transaction structures, due diligence, deal negotiation, and dispute resolution. The course also includes a real-world case studies It covers the key issues that arise in M&A transactions, including due diligence, structuring deals, negotiation, antitrust regulations, securities laws, and post-merger integration. Students will explore how legal frameworks interact with business goals and financial strategies in M&A deals.
By the end of the course, students will:
¿ Understand the legal principles governing M&A transactions.
¿ Be able to analyze, structure, and negotiate M&A deals.
¿ Be familiar with relevant regulatory frameworks, including antitrust laws, securities laws, and corporate governance principles.
